LETTER TO THE CUPS MEMBERSHIP
Nick Ferris December 2009 Several years ago the Colorado Underwater Photographic
Society (CUPS) was incorporated in Colorado
so that it could properly do business. The business at that point was the
purchase of a digital projector, the Kodak carousel slide projectors having
become insufficient for the job at hand, it having become digital. The job at
hand is stated as Article VII in the
Articles of Incorporation: “… formed exclusively for educational purposes
related to underwater photography, … and its principal purpose is to do and
perform every act or acts necessary, incidental to or connected with the
furtherance of charitable, scientific, literary, religious and educational
purposes …. “. The legalese is a bit turgid. Prior to incorporation we had a
mission statement which stressed our using individual experience and expertise
to help advance others in the art of underwater photography. The main function
of CUPS had been to design and prepare U/W photo exhibits/contests in
connection with the annual Scuba Extasea trade show, and to obtain desirable
prizes. Promoting and presenting U/W photography in various ways was the
organization’s purpose.
There were three incorporators of CUPS. One has resigned,
and as one of the two remaining incorporators I am inclined to address the
membership regarding CUPS’ current situation. While the Articles are heavy on
bylaws, boards of directors, officers, investment of funds, etc., CUPS has been
very informal, and has been managed and directed simply by a very few members
interested in keeping the Society alive and active. Most members come to
meetings and participate as they see fit. To a large extent the meetings are a
chance to socialize, learn about dive trip opportunities, and enjoy an
underwater travelogue. Recently our fortunes have taken a turn for the better,
with the facilities of the Downtown Aquarium at our disposal. As our
association grows, we may display our photos to the public there, and in the
boardroom. The Aquarium wants us to make photo equipment and photo
presentations to the staff and volunteers once every 3 months, an opportunity
for some of us to get our acts together and educate as expressed in Article
VII. Every member should start imagining what he/she could do in terms of
presentations at CUPS meetings, presentations to Aquarium staff, and
photography displays. I hope we all develop a sense of responsibility to
participate in these opportunities.
There is one issue that cannot be informally disregarded,
and that is money. CUPS has approximately $580 in the bank from past dues and
donations. Expenses for maintaining the corporate status and the web site
operation are about $166 annually. Thus, if there are no other expenditures the
funds on hand should last 3.5 years. However, at some point more funds will be
necessary and the membership will have to consider requests and
recommendations. Our vague structure will have to take on matters of authority
and responsibility. Don’t be surprised if
someday just showing up is not quite enough!
